Vendor Terms

These Vendor Terms (the “Terms”) govern how a vendor (the “Vendor”, “you”, “your”) lists, sells, and fulfils products or services on the Zippiq platform operated by Fousiya Yusuf, sole proprietor of Zippiq (a product of New Dawn IT Solutions) (the “Platform”, “Zippiq”, “we”, “us”, “our”). These Terms apply alongside the general Zippiq Terms of Service; in the event of any conflict between the two on a Vendor-specific matter, these Vendor Terms prevail.

1. About these terms

You accept these Terms when you (a) tick the consent checkbox on the listing-creation screen in the Zippiq customer app, (b) sign a counterpart Vendor Agreement offline with us, or (c) accept an order broadcast through the platform — whichever occurs first. We record the version of these Terms in force at the time of your acceptance.

2. Eligibility & KYC

  • You must be at least 18 years old, of sound mind, and competent to contract under Indian law.
  • You must hold all licences, registrations, and permissions that your category requires — e.g. a current FSSAI registration or licence for any food category, a Shops & Establishments registration, a Drug Licence for pharmacy, etc. You will produce copies on request and update us if any of them lapse, are revoked, or are amended.
  • You must provide accurate KYC details — your name (or proprietor / partner / director names), your business name and address, your bank account details for payout, your PAN, and your GSTIN where applicable.
  • You authorise Zippiq to verify the documents you submit and to conduct reasonable due diligence (including with third-party verification agencies) before activating your account.

3. Relationship & status

  • You operate on Zippiq as an independent merchant. Nothing in these Terms creates a partnership, joint venture, agency, franchise, employer-employee relationship, or principal-to-principal sale between you and Zippiq.
  • The customer’s contract for the goods or services they order is between you and the customer. Zippiq is a technology intermediary that aggregates demand, routes orders, processes payments on your behalf where applicable, and arranges delivery through independent partners.
  • Zippiq does not own, store, package, or take title to your inventory unless a separate written agreement says otherwise.

4. Listings & accuracy

  • Every listing — product name, description, photo, weight or pack size, price, availability — must be true, accurate, and not misleading. Photos must depict the actual item you sell.
  • You will keep your listings current. Out-of-stock items must be flagged unavailable in the portal at the earliest opportunity. Repeated failure to maintain availability is a ground for suspension under Section 13.
  • You are responsible for any required statutory declarations alongside the listing — e.g. country of origin, veg / non-veg indicator, allergen information, expiry / use-by where applicable, and Legal Metrology declarations for packaged commodities.
  • You will not list, market, or sell on Zippiq any item that is illegal under Indian law or restricted to specific channels (see Section 10).

5. Orders, acceptance & fulfilment

  • You are expected to accept or decline an order broadcast within the time window shown in the vendor portal / WhatsApp notification. Repeated non-response is a ground for suspension.
  • Once you accept an order, you commit to fulfilling it as listed. You must pack and hand over the order to the delivery partner within the preparation window indicated for your category.
  • If you cannot fulfil part of an order (item out of stock, partial availability), you must mark the unfulfilled items in the portal so the customer is refunded for that portion automatically.
  • You will not solicit customers to transact outside the platform once they have discovered you through Zippiq. Doing so is a material breach of these Terms.

6. Pricing & inventory

  • You set the selling price of your items in the vendor portal. The price you set must be inclusive of any taxes you are required to collect from the customer (e.g. GST on the goods).
  • The price you list must not exceed the price at which you sell the same item to walk-in customers at your physical shop, unless a clear reason (premium SKU, packaging, etc.) justifies it. Zippiq may surface a price-parity flag where it sees material drift and ask you to address it.
  • You will honour the price shown to the customer on the cart screen at the moment they confirm the order, even if you later update the listing.
  • Where Zippiq runs a promotional campaign that requires a vendor contribution to the discount (e.g. a launch offer), participation is voluntary and the contribution percentage is shown to you before you opt in.

7. Commission, platform fee & payouts

  • Commission. Zippiq charges a commission on the order value, computed at the rate set out in your category schedule. The rate in force at the time of order capture is the rate that binds; changes are notified in writing at least 14 days in advance.
  • Platform fee.A separate platform fee is charged to the customer on each order — this is Zippiq’s charge to the customer and is not deducted from your remittance. The platform fee is disclosed to the customer on the cart screen and in the public Pricing terms.
  • Payouts. Net order proceeds (order value less commission less any agreed deductions) are remitted to your registered bank account on a settlement cycle published in the vendor portal. Payouts for an order are contingent on the order having been marked successfully delivered and on the customer not having raised an eligible refund claim within the complaint window.
  • Holdbacks & reversals. Zippiq may hold back amounts referable to disputed orders, suspected fraud, chargebacks, or eligible customer refunds, and may set off these against future remittances. We will give you reasonable notice of any material holdback and a chance to respond.

8. Taxes

  • You are solely responsible for collecting and remitting any GST, other indirect taxes, and direct taxes on the sale of your goods or services to the customer, and for filing your own returns.
  • Where required, Zippiq will deduct TCS / TDS at the applicable rates from your remittance and remit it to the tax authority on your behalf, and will provide certificates as required by law.
  • Zippiq’s commission and platform fee invoices are issued in accordance with applicable GST law; you can download them from the vendor portal.

9. Cancellations, refunds & complaints

  • The customer-facing cancellation and refund rules live on the Cancellation & Refund Policy page. You will comply with refund determinations made under that policy.
  • Where you cancel an order after acceptance for reasons other than a genuine inability to fulfil, Zippiq may charge a cancellation fee against your remittance to compensate the platform and the delivery partner.
  • Customer quality complaints are reviewed jointly with you. Where a complaint is substantiated, the refund is debited to your remittance for that order.

10. Quality, hygiene & restricted goods

  • You will comply with all applicable food safety, hygiene, packaging, labelling, and Legal Metrology requirements. For food categories, this includes the FSS Act, 2006 and rules made thereunder.
  • You will not list or sell any of the following on Zippiq: alcohol, tobacco products, prescription-only medicines (except via a duly licensed pharmacy with the prescription handling pathway agreed with us in writing), explosives, weapons, drugs of abuse, banned substances, counterfeits, unauthorised brand goods, or any other item prohibited or restricted by Indian law.
  • Goods must be properly packaged for delivery; perishables must be packaged in a way that preserves food safety from your premises to the customer’s door.

11. Customer data & confidentiality

  • The customer details shared with you for an order (name, contact, delivery address) are confidential and may only be used to fulfil that specific order. You will not retain, copy, share, or use them for any other purpose, including marketing.
  • You will comply with the Digital Personal Data Protection Act, 2023 and any other applicable privacy law in respect of any personal data you receive through the platform.
  • Breach of this section is a material breach and a ground for immediate suspension and termination.

12. Intellectual property

  • You retain ownership of your trademarks, photos, descriptions, and other content you upload, and grant Zippiq a non-exclusive, royalty-free, worldwide licence to host, display, reproduce, and transmit them on the platform and in marketing materials for the term you are listed.
  • You warrant that the content you upload does not infringe any third party’s intellectual property or other rights and that you have obtained all consents needed (e.g. for trade marks not owned by you).
  • Zippiq’s marks, logo, and platform software belong to Zippiq and are not licensed to you beyond what is necessary to operate on the platform.

13. Suspension & termination

  • Zippiq may suspend or terminate your account at any time for, among other reasons: material breach of these Terms, repeated quality or hygiene complaints, repeated cancellations, fraud, listing of restricted goods, breach of customer confidentiality, lapse of required licences, or unsafe practices.
  • Where the suspension is for a remediable matter (e.g. an expired licence), we will give you a chance to cure within a reasonable window before terminating.
  • You may close your account at any time by giving 7 days' written notice; you remain responsible for fulfilling all orders accepted before the closure becomes effective.

14. Indemnity & limitation of liability

  • You will indemnify Zippiq, its officers, employees, and partners against any claim, loss, fine, or expense (including legal costs) arising from (a) your breach of these Terms, (b) defective, mislabelled, or non-compliant goods or services you supplied, (c) infringement of third-party rights by your content, (d) breach of any law applicable to your business.
  • Zippiq’s aggregate liability to you under or in connection with these Terms for any cause of action will not exceed the total commission earned from you in the three (3) months immediately preceding the event giving rise to the claim. We are not liable for any indirect, incidental, or consequential loss.

15. Grievance escalation

For any unresolved complaint relating to these Terms, write to support@zippiq.in with the subject line “Vendor grievance” and your vendor ID. If still unresolved, escalate to the Zippiq Grievance Officer using the details on the Contact page. We acknowledge complaints within 48 hours and endeavour to resolve them within 30 days.

16. Governing law & disputes

These Terms are governed by the laws of India. Subject to the grievance escalation process in Section 15, any dispute will be referred to the exclusive jurisdiction of the courts at Kollam, Kerala, India.

17. Changes to these terms

Zippiq may revise these Terms from time to time. Material changes (commission rate, payout cadence, restricted goods list) are notified in writing at least 14 days in advance. Continued use of the platform after the change date constitutes acceptance of the updated Terms.
